Terms of Service

By accessing or using Finkr ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). These Terms form a legally binding agreement between you and Syntheialabs Private Limited ("Syntheialabs", "we", "us", or "our"), the operator of Finkr.

If you are using Finkr on behalf of a firm or organization, you represent that you have authority to bind that entity to these Terms.

Finkr is intended for:

• Practicing Chartered Accountants holding a valid certificate of practice issued by the Institute of Chartered Accountants of India (ICAI).
• Authorized staff of CA firms who access the platform under a CA's account with the CA's authorization.

By registering, you represent that you meet these eligibility requirements. We reserve the right to suspend accounts that are found to be in violation of eligibility criteria.

Finkr is an AI-powered platform providing tools for income tax compliance, including:

• AI-assisted analysis of income tax notices and demands
• Automated drafting of responses and submissions
• Compliance deadline tracking and reminders
• Client portfolio management for tax matters

Finkr is a professional productivity tool, not a substitute for your professional judgment. The Platform assists you in your work but does not replace the exercise of professional skill and judgment required of a practicing CA.

Finkr's AI capabilities are subject to the following limitations and disclaimers:

• Assistive Only: All AI-generated content — including notice analyses, draft responses, risk assessments, and recommendations — is assistive in nature. It is a starting point for your professional review, not a final or definitive output.
• No Guarantee of Accuracy: AI outputs may contain errors, omissions, or outdated interpretations of law. You must independently verify all AI-generated content before using it in any professional capacity.
• Your Responsibility: You are solely responsible for the accuracy and completeness of all filings, responses, and advice provided to your clients. Syntheialabs is not responsible for any tax outcomes, penalties, interest, or other consequences arising from reliance on AI-generated content.
• Not Legal or Tax Advice: Nothing on the Platform constitutes legal or tax advice. For complex matters, independent legal or tax counsel should be sought.

• Accurate Information: You must provide accurate and complete registration information and keep it up to date.
• Credential Security: You are responsible for maintaining the confidentiality of your login credentials. Do not share your account with unauthorized individuals.
• Unauthorized Access: You must notify us immediately at contact@finkr.ai if you become aware of any unauthorized access to your account.
• Accountability: You are responsible for all activities that occur under your account, whether or not authorized by you.

• Plans: Finkr is offered on subscription plans as detailed at finkr.ai/plans. Plan features and pricing may change with 30 days' notice.
• Free Trial: Where offered, free trials are available for new users. Trial terms will be specified at the time of sign-up.
• Billing: Subscriptions are billed in advance on the applicable billing cycle (monthly or annual). All amounts are in Indian Rupees (INR) unless stated otherwise.
• No Refunds: Subscription fees paid are non-refundable, including upon cancellation before the end of a billing period, except where required by applicable law.
• Taxes: Prices are exclusive of GST and other applicable taxes unless stated otherwise.

You agree not to use Finkr to:

• Violate any applicable law, regulation, or professional code of conduct (including ICAI regulations).
• Upload or process data for which you do not have lawful authority or client consent.
• Attempt to reverse engineer, decompile, or extract the source code or AI models of the Platform.
• Scrape, crawl, or systematically extract data from the Platform by automated means.
• Circumvent security measures or gain unauthorized access to other users' data.
• Use the Platform for any purpose other than legitimate tax compliance work for your clients.
• Introduce malware, viruses, or other harmful code into the Platform.

• Finkr IP: All software, algorithms, UI designs, trademarks, and brand assets of Finkr are owned by Syntheialabs Private Limited. No license to Finkr's intellectual property is granted other than the limited right to use the Platform as per these Terms.
• Your Content: You retain full ownership of all client data, tax documents, and other content you upload to the Platform. You grant us a limited, non-exclusive license to process that content solely to provide the services described herein.
• Feedback: If you provide feedback or suggestions about the Platform, we may use them to improve the service without any obligation or compensation to you.

We recognize that your clients' tax data is highly sensitive. Syntheialabs commits to:

• Not disclosing client tax data to any third party except as described in our Privacy Policy (cloud infrastructure providers, legal requirements).
• Not using client tax data for marketing, advertising, or AI model training without your explicit consent.
• Maintaining appropriate technical and organizational measures to protect client data.

Your obligations as a CA under professional secrecy norms remain unaffected by your use of Finkr.

To the maximum extent permitted by applicable law:

• No Liability for Tax Outcomes: Syntheialabs is not liable for any tax assessments, penalties, interest, demands, or other outcomes arising from your use of AI-generated content on the Platform.
• No Indirect Damages: Syntheialabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
• Aggregate Cap: Our total aggregate liability to you for all claims arising from these Terms or your use of the Platform shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.
• Service Availability: We do not guarantee uninterrupted availability of the Platform. We are not liable for losses arising from downtime, maintenance, or technical failures.

You agree to indemnify, defend, and hold harmless Syntheialabs Private Limited, its directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms or any applicable law.
• Your use of the Platform in a manner not authorized herein.
• Your misrepresentation of your authority to upload or process any data.
• Any claims brought by your clients arising from your professional services.

• By You: You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.
• By Us: We may suspend or terminate your account immediately if you breach these Terms, engage in prohibited conduct, or if required by law. We will provide notice where reasonably practicable.
• Effect of Termination: Upon termination, your access to the Platform ceases. Data retention and deletion are governed by our Privacy Policy.

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms or your use of Finkr shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.

Before initiating legal proceedings, you agree to attempt to resolve disputes informally by contacting us at contact@finkr.ai. We will attempt to resolve the dispute within 30 days of receiving notice.

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email or a prominent in-app notification before the updated Terms take effect.

Your continued use of Finkr after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must discontinue use and cancel your subscription before the effective date.
